Terms and Conditions

These Terms and Conditions outline the legal obligations and agreements that apply when using our services or website.
By engaging with Hey You®, you agree to abide by these Terms.
Please read them carefully before proceeding.

1. Definitions

ClientThe individual or entity requesting services from Hey You®.
ContractorHey You®, the service provider.
PartiesThe Client and the Contractor collectively.
AssignmentThe Client's request for the Contractor to perform specified work, whether or not for payment.
DocumentsAll materials, data, or information provided by the Client to the Contractor for the execution of the Assignment.
WorkAny activities performed or arranged by Hey You®for the Client as part of the Assignment.
QuotationAn estimate prepared by Hey You®detailing the scope of the Work and the associated costs.
DeliverablesThe final creative assets(e.g., social content, brand templates, visual materials)provided as part of the Assignment.

2. Scope of Services

Hey You®specialises in social media content creation, branding assets, creative support, and digital campaigns. The specific services to be delivered are defined in the Quotation or agreement per Assignment.

3. Applicability

These Terms apply to all services, Assignments, and agreements between Hey You®and the Client, unless otherwise agreed in writing.

Any deviations from these Terms, including those used by the Client or third parties, are only binding if confirmed in writing by Hey You®.

4. Client Obligations

The Client is responsible for providing all required Documents, information, and materials necessary for the execution of the Work, ensuring these are accurate, complete, and provided on time.

The Client guarantees the correctness and completeness of the provided Documents, even if they originate from third parties.

Hey You®is not liable for any damages or delays resulting from the Client’s failure to provide accurate or complete information.

The Client agrees to cover any additional costs incurred due to delays or inaccuracies in the Documents provided.

Upon request, Hey You®will return original Documents supplied by the Client.

5. Quotations and Acceptance

All Quotations from Hey You®are non-binding unless explicitly agreed otherwise in writing.

If the Client accepts a Quotation, an agreement is established once Hey You®confirms the Assignment in writing or when the Work begins.

Any changes in scope or cost of services due to external factors(e.g., third-party fees, market conditions)may result in adjustments, which will not be considered an overrun.

If no formal agreement is made before starting the Work, the Quotation and these Terms will govern the Assignment. Hey You®will keep the Client informed of all relevant costs and changes.

6. Prices and Payment Terms

All prices quoted are exclusive of VAT, travel, and other expenses unless otherwise specified.

Hey You®may request advance payment before starting the Work.

Prices may be adjusted in response to changes in third-party pricing or market conditions.

Payments are due within 30 days of the invoice date unless otherwise agreed. Late payments may incur a statutory interest rate plus 2%.

Hey You®reserves the right to suspend services or withhold deliverables until payment is made.

All collection costs, including legal fees, will be charged to the Client in cases of non-payment.

7. Revisions & Approvals

The Assignment includes up to two revision rounds per deliverable, unless stated otherwise in the Quotation. Additional revisions may be billed separately.

Approval must be confirmed in writing by the Client before final delivery or publishing.

8. Modifications to Assignments

The Client must notify Hey You®promptly in writing of any changes to the Assignment.

Changes may result in additional costs, which will be the responsibility of the Client.

Any delays or adjustments to timelines due to Client-side changes will not result in liability for Hey You®.

9. Engagement of Third Parties

Hey You®reserves the right to engage trusted third parties to support the Assignment, with prior notification to the Client.

Any costs associated with such third parties will be either passed through or invoiced to the Client, as agreed.

The Client is responsible for any direct payments to third parties unless otherwise arranged in writing.

10. Data & Privacy

Any personal data shared during the Assignment will be handled in accordance with our Privacy Policy.

Hey You®implements appropriate technical and organisational safeguards to protect data provided by the Client.

11. Liability and Indemnification

Hey You®will carry out the Work with due care and professionalism. The Client is responsible for how the deliverables are ultimately used.

Liability for direct damages is limited to the amount invoiced for the Assignment.

Hey You®is not liable for indirect damages, such as loss of profits, savings, or business interruptions.

The Client agrees to indemnify Hey You®against third-party claims related to the use of the deliverables.

12. Intellectual Property and Licensing

Hey You®retains all intellectual property rights to materials and content created, unless otherwise agreed in writing.

Upon full payment, the Client is granted a non-transferable, exclusive license to use the deliverables solely for the agreed purpose.

The Client may not alter or reuse the deliverables for other purposes without prior written consent.

Hey You®reserves the right to showcase the work in portfolios, social media, or for awards and internal promotion. If the Client wishes to opt out, this must be agreed in writing.

13. Confidentiality

Both Parties agree to maintain confidentiality regarding any sensitive business or project information shared during the Assignment.

This obligation continues beyond the termination of the Assignment, unless otherwise required by law.

14. Termination of Agreement

Either Party may terminate the agreement if the other Party breaches contractual obligations and fails to remedy this after reasonable notice.

Upon termination, the Client must pay for all Work completed and any third-party costs already incurred.

If the Client cancels an Assignment prematurely, Hey You®reserves the right to invoice for partially completed work and time invested.

15. Force Majeure

Hey You®is not liable for delays or non-performance caused by events beyond its control(e.g., natural disasters, strikes, governmental restrictions) .

In such cases, Hey You®may suspend or terminate the Assignment without obligation for compensation.

16. Governing Law and Disputes

These Terms are governed by Dutch law.

Any disputes will be submitted exclusively to the competent courts in the district where Hey You®is registered.

17. Amendments

Hey You®may update these Terms from time to time. Clients will be notified of changes, and continued use of services implies acceptance.

The latest version is always available on our website.

18. Severability

If any clause in these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.
